Images from the collection are available for reproduction in a wide range of media, books, magazines, calendars, newspapers, advertising, design, stationery, CD covers, phone cards, computer based presentation, video, free postcards, merchandising, cell phones, multimedia products and commercial web sites. Certain uses are excluded from our 'standard price' license. For example, if the image[s] use totals more than 50% of the total surface printed area of any one face of any item offered for commecial sale, then an additional license fee will be payable. Example: Pay the standard fee and use one of our images as your corporate brochure front cover, brochure offered free to clients - great! Pay the standard fee for one of our images, use it as the face of a postcard offered for retail sale - additional fee payable. “Format” means the size and resolution of the Licensed Article as set out on your invoice.
“Licensed Article” means that photograph or those photographs in the Format whose description and identifying number is set out on your invoice
“Licensed Purpose” means that purpose as identified on your invoice
“Licensee” means that individual, company, partnership or entity identified on your invoice
“Payment Due Date” means that date set out on your invoice
“Price” means that sum set out on your invoice
“Term” means that period between the dates set out on your invoice
“Territory” means that territory as set out on your invoice.

1. Grant
1.1 Red Door VR Ltd. hereby grants to the Licensee on the terms set out below a non-exclusive, revocable licence to use the Licensed Articles (?the Licence?) for the Licensed Purpose in the Territory for the duration of the Term.

2. Consideration
2.1 In consideration of the grant of the Licence as set out at clause 1 the Licensee agrees to pay Red Door VR Ltd. the Price by the Payment Due Date. The Licensee acknowledges and agrees that by paying the Price to Red Door VR Ltd. the Licensee is accepting the terms of this Licence as set out herein.
3. Intellectual Property
3.1 The Licensee acknowledges that all copyright and/or all other intellectual property rights in and in connection with the Licensed Articles remain the property of Red Door VR Ltd.
4. Termination
4.1 This Licence and the Licensee’s rights to use the Licensed Articles will automatically terminate in the following circumstances:
4.1.1 in the event that the Licensee fails to pay Red Door VR Ltd. the Price by the Payment Due Date; and/or
4.1.2 in the event that the Licensee uses the Licensed Articles for a purpose other than the Licensed Purpose; and/or
4.1.3 upon expiration of the Term.
5. Consequences of Termination
5.1 Upon termination in accordance with this Licence the Licensee shall cease to use the Licensed Articles and/or any materials which contain or utilise the Licensed Articles.
6. Nature of Licence
6.1 This Licence is specific to the Licensee and all rights not expressly provided herein are reserved to Red Door VR and no rights of any nature may be assigned licensed or made over to any third party.
7. Restrictions
Licencee may not sublicence, sell, assign, convey or transfer any of its rights under this Agreement but Licencee may sell or licence derivative works incorporating the Licensed Article in accordance with the Permitted Uses. Licencee may not sell, licence or distribute its work in such a way that Licencee's customer can extract or access the Licensed Article as a stand-alone file.
7.4.2 Licensed Article shall not be incorporated into a logo, trademark or service mark.
7.4.3 Licencee may not post the Licensed Article online in a downloadable format.
7.4.4 If any Licensed Article featuring a model is used in a manner that would lead a reasonable person to believe that the model personally uses or endorses a product or service (for example, any Licensed Article is used in a testimonial advertisement), or if the depiction of the model in the Licensed Article is used in connection with a subject that would be unflattering or unduly controversial to a reasonable person, Licencee must accompany each such use with a statement that indicates that the person is a model and the Licensed Article is being used for illustrative purposes only.
7.4.5 The Licensed Article may not be used in a pornographic, defamatory, libellous or otherwise illegal manner, whether directly or in context or juxtaposition with other materials.
7.4.6 Licencee must retain the copyright symbol, the name of Red Door VR Limited and the Digital Media's identification number as part of the electronic file and as otherwise contained on the original Licensed Article.
7.4.7 Red Door VR Ltd. grants no rights and makes no warranties with regard to the use of names, trademarks, trade dress, registered, unregistered or copyrighted designs or works of art or architecture depicted in any Licenced Material, and Licencee must satisfy itself that all the necessary rights or consents regarding any of the above, as may be required for reproduction, have been obtained.8. Law and Jurisdiction
8.1 This Licence is governed and shall be construed in accordance with English law and the parties hereby submit to the exclusive jurisdiction of the English Courts.
